2006 Amended Bylaws

Governance

Based on the Amended Bylaws, decision-making authority at Jikoji is now vested in its Resident Teacher, (currently Michael Newhall as Kobun's successor), and in the standing and ad hoc committee members he appoints, whose obligation it will be to assist him in whatever manner he seeks their help. Decisions at Jikoji by Michael are likely to take one of the following forms:

Jikoji's bylaws have been successfully amended twice in the last few years. One major effect is that Jikoji's teaching objectives and functions have been affirmed, and are to be passed on within the direct lineage of teachers of our deceased founder, Kobun Chino Otogawa Roshi. Another major effect is that responsibility for the continuing manifold operations and development of Jikoji, under the direction of the Resident Teacher, is now vested in a number of committees whose scope and relationships are described in Committees (Revision D) and illustrated in Committee Relationships and Reporting

Not all committees described are currently staffed or active; at present the Finance, Facilities, and Outreach committees are staffed and active, and a personnel committee is being formed. If a matter is referred to a committee, ad hoc or standing, the committee will study it, hear the voices of others, consider a range of practical solutions and then make a recommendation to Michael. That recommendation will become the policy if Michael agrees with it.

Some matters are reserved to the Board in the Bylaws. These matters include approving the annual budget, holding the annual meeting, appointing a successor to the Resident Teacher, and a few others. In addition to the few matters reserved to it under the bylaws, the Board continues to have important fiduciary duties under California Law. These include the duty to preserve and protect Jikojišs assets, to take appropriate action in the event of illegal or improper conduct by officers or agents of Jikoji, and the duty to maintain Jikojišs non-profit status.
